Lineage's approach is flexible yet tailored to meet the unique, and
often complex, needs and objectives of closely-held firms. In each
instance, we structure our approach to meet the objectives of the shareholders
while allowing control to remain with the owner, the next generation,
or the management team. We will allow shareholders to receive significant value today while retaining control of the board of directors and substantial economic ownership going forward.
Liquidity - Closely-held business owners frequently invest their
excess capital back into the business to support growth. The shareholders
reach a point where they desire liquidity to diversify their personal
net worth, enhance their estate planning, or purchase the shares
of minority, inactive or retiring members without placing a cash drain
on the business.
Control - At the same time, Lineage understands the closely-held business
owner’s desire to maintain control of the business. Our investment
structures typically allow voting control to stay with the shareholders,
and provides for significant participation in future equity value.
Economic Ownership - Our approach incorporates a tax-deferred reinvestment
and allows owners to retain up to 50% of the business. Recapitalizations
and buyouts typically utilize significant leverage, including both
senior and subordinated debt. The Lineage model uses less leverage
to provide
capacity for strategic growth initiatives.
Strategic Partnership for Growth - Most important, by leveraging our
collective investment and operating experience, and network of relationships,
Lineage serves as a sounding board for the team on a wide range of
strategic issues. We pride ourselves on building effective partnerships
with owners
and management teams to ensure the future success of the business.
